Who I work with

International groups with a Polish subsidiary

For headquarters that need dependable senior legal support for a company already operating in Poland.

Companies entering the Polish market

From choosing and incorporating the entity through governance, contracts, employment and data protection to the legal setup you need before you can trade.

Group legal and finance teams

For General Counsel and regional legal departments that need a Polish lawyer who works independently, reports in English and does not need managing.

Three levels of support

Corporate — keeping the Polish entity in good standing.

Governance and board matters, shareholder and management resolutions, powers of attorney, registry and beneficial ownership filings, corporate housekeeping, and coordination with notaries and corporate service providers.

Operations — the legal work a running business generates.

Everything above, plus commercial and supplier contracts, customer agreements and NDAs, technology and SaaS terms, employment and B2B arrangements, data protection and internal policies, consumer and marketing matters, and first-line handling of claims.

Lead — senior legal ownership, without hiring a department.

Everything above, plus direct work with your Group General Counsel, CFO or CEO: identifying and prioritising legal risk, negotiating the agreements that matter, implementing group policies in Poland, supervising disputes and specialist counsel, building legal processes and templates, and reporting into headquarters.

Most companies start at Operations and move up or down as the business changes. Scope and a fixed monthly fee are agreed in writing before we begin. Transactions, litigation and major projects are quoted separately, in advance.

Transactions and special projects

Work outside the ordinary run of the business, taken on project by project.

M&A and due diligence

Acquisitions, disposals, investment transactions and post-closing integration.

Corporate restructuring

Ownership and capital changes, reorganisations, mergers and liquidations.

Strategic commercial projects

The contracts and negotiations a business only runs once or twice: key suppliers, distribution, long-term cooperation.

Regulated and technology businesses

FinTech, payments, SaaS and digital products, AI, intellectual property, privacy and EU regulatory compliance.

Senior work, not delegated work

You work with me, not with a team you never meet.

I am a Polish attorney-at-law with more than sixteen years in practice. For nearly five of them I was Head of Legal & Compliance of an international technology group — building the function from nothing, running it with a multinational team, and handling legal matters across more than ten jurisdictions, including Poland, Estonia, the United Kingdom, Belgium, Luxembourg, Latvia, Lithuania and Switzerland.

Which means I have already sat on your side of this arrangement. At group level I was the one instructing local counsel abroad, chasing them for answers, and deciding whether what came back was usable. I know what headquarters needs from a local lawyer, because I needed it myself.

I also litigate. More than a hundred court, arbitration and public procurement proceedings, including a contractual penalty dispute of nearly PLN 19 million resolved by settlement. Contracts drafted by someone who has watched his own clauses tested under cross-examination allocate risk differently.

My work does not stop at identifying legal issues. I help management decide what to do, and then make sure the decision is actually implemented.

How we start

1. Introductory call — 30 minutes, no charge

We go through your Polish operations, how legal is handled today, and what level of support the business actually needs.

2. Legal Setup Review — two weeks, fixed fee agreed in advance

I go through your corporate documentation, contracts, employment arrangements, data protection and compliance position, and give you a written picture of what is in order, what is exposed, and what needs attention first. It stands on its own — nothing beyond it is committed.

3. Agreed scope

We put in writing which areas I cover, how we communicate, response times, and the monthly fee.

4. Ongoing work

I become the legal contact for your Polish operations, working directly with your management or your international legal team.

How I work

Response times

Urgent matters get an answer the same business day. Everything else within two business days.

Continuity

I work in standing cooperation with two Polish law firms, so holidays, illness and workload peaks are covered and your matters do not stop.

Specialists

Where a matter needs a tax adviser, a notary, an IP litigator or counsel in another country, I bring them in and manage them. You still deal with one person.

Capacity

I take on a limited number of retained clients, so each one gets senior attention rather than a place in a queue.

Confidentiality

I do not publish client names or describe identifiable matters — including yours.

Languages

Work runs in English and Polish, in writing and in negotiation.

Let's talk about your Polish operations

Thirty minutes is usually enough to tell whether this is a fit. If it is not, I will say so and point you to someone better placed.
